Introduction
These Terms of Use help define the relationship between you and Tupal LLC, a California limited liability company doing business as URIQA. When these Terms use "URIQA," "Tupal," "we," "us," or "our," they mean Tupal LLC. When they use "you," they mean the individual or organization using the Service.
URIQA provides software for organizing, analyzing, connecting, and drafting research and technical project information. Because these activities can involve important professional and scientific decisions, these Terms also explain the limits of URIQA's responsibilities and what we expect from people using the Service.
By creating an account, affirmatively accepting these Terms, purchasing a subscription, or using the Service, you agree to these Terms, the Privacy Policy, and the AI Disclaimer. If you do not agree, you must not use the Service.
If you use URIQA for an employer, university, laboratory, business, consulting firm, government organization, or another entity, you represent that you are authorized to accept these Terms for that entity. In that case, "you" includes both you and the entity.
Who provides URIQA
The URIQA Service is provided by Tupal LLC, a California limited liability company. URIQA is the product and trade name under which the Service is offered.
The "Service" includes the URIQA website, applications, Research and Professional workspaces, project and case-management tools, file storage, file analysis, artificial-intelligence functions, notes, findings, plans, Insight Maps, drafts, report tools, exports, and other related features.
Who may use URIQA
You must be at least 18 years old and legally capable of entering into a binding agreement to use URIQA. The Service is not designed for children or minors. Do not create an account for a person under 18 or knowingly submit a minor's personal information unless you have lawful authority and URIQA has expressly approved the use.
You may not use URIQA if applicable law prohibits you from receiving the Service, if sanctions or export restrictions prohibit the relationship, or if we previously terminated your account for serious misconduct and have not authorized its reinstatement.
What you can expect from us
Providing and developing the Service
URIQA provides tools intended to help users move from scattered files, data, notes, and observations toward organized findings, connected insight, plans, and drafts. Depending on your plan and workspace, features may include document and image analysis, spreadsheet interpretation, AI-assisted summaries, suggested findings, gap analysis, Insight Map relationships, project planning, and report preparation.
We continually develop the Service. We may introduce new features, modify existing features, replace AI models, change usage limits, discontinue preview functionality, or alter the way features work. These changes may reflect technical requirements, user feedback, security needs, legal requirements, provider availability, or the continued development of URIQA.
When a material change substantially reduces a paid Service, we will provide notice when reasonably practical. We may make changes without advance notice when necessary to protect users, respond to legal obligations, address a security risk, prevent abuse, or preserve the operation of the Service.
Beta and experimental features
URIQA is at an early stage of development, and some features may be described as beta, preview, experimental, or early access. These features may contain errors, change significantly, become unavailable, or produce incomplete results.
You should maintain independent copies of important files, notes, findings, data, and reports. URIQA is not intended to be your only backup, official laboratory notebook, legally required archive, validated quality-management system, document-control system, or exclusive system of record.
No guaranteed availability
We work to keep URIQA available and useful, but we do not promise that the Service will always be available, uninterrupted, secure, error-free, or compatible with every file, browser, device, or workflow. Unless we enter into a separate written agreement, URIQA does not provide a service-level agreement, guaranteed support response, guaranteed recovery time, or guaranteed data-restoration commitment.
What we expect from you
Follow the law and respect other people's rights
You must use URIQA lawfully and respect the privacy, confidentiality, intellectual-property, contractual, employment, research, and other rights of others.
Before uploading information, make sure that you have the right to possess it and permit URIQA and its providers to process it. For example, being able to view a client report, unpublished manuscript, employer document, student record, or third-party dataset does not necessarily mean that you are authorized to upload it to an AI-enabled cloud service.
Do not abuse the Service
You may not use URIQA to harm people, compromise systems, fabricate evidence, or interfere with the Service. In particular, you may not use URIQA to:
- upload malware or malicious code;
- obtain unauthorized access to another account, workspace, or system;
- bypass authentication, billing, quotas, rate limits, or security controls;
- conduct phishing, fraud, impersonation, harassment, or deception;
- fabricate research data, citations, inspection results, measurements, laboratory results, professional findings, or evidence;
- knowingly present AI output as verified human analysis when doing so would be misleading or unlawful;
- violate privacy, intellectual-property, confidentiality, export-control, sanctions, or other laws;
- scrape, reverse engineer, probe, stress test, or automatically access the Service except as permitted by law or authorized in writing;
- use URIQA outputs or system access to train or develop a competing product through bulk extraction;
- consume excessive resources in a way that disrupts or degrades the Service.
Security research is not authorized merely because URIQA publishes a security contact. Any testing requires prior written authorization.
Your URIQA account
You are responsible for providing accurate account information and keeping it current. You are also responsible for protecting your credentials, maintaining control of your devices, and taking reasonable security precautions.
Unless a plan expressly permits shared access, an individual account may not be shared among multiple unrelated people. You may not sell, transfer, rent, or lend an account.
You are responsible for activity performed through your account unless the activity resulted from a failure for which URIQA is legally responsible. Notify us at support@uriqa.ai if you reasonably believe that your account has been compromised.
We may require email, identity, account, or payment verification when reasonably necessary to protect the Service, prevent fraud, or comply with law.
Your content
Your content remains yours
URIQA allows you to upload, create, store, and process files, images, spreadsheets, datasets, notes, findings, plans, prompts, messages, drafts, reports, and other project information. We call this material "User Content." As between you and URIQA, you retain the rights you have in your User Content. These Terms do not transfer ownership of your private project content to URIQA.
Make sure you have the necessary rights
You are responsible for your User Content. You represent that you own it, control it, or otherwise have all permissions needed to submit and process it through URIQA. You must also ensure that your use does not violate an obligation to an employer, university, client, collaborator, funder, journal, government agency, data provider, or other party.
The permission URIQA needs
To provide the Service, URIQA needs permission to host, copy, transmit, convert, analyze, index, retrieve, display, and otherwise process User Content. You give URIQA a worldwide, nonexclusive, royalty-free license to perform those activities only as reasonably necessary to provide the features you request; store and retrieve your content; conduct AI and document processing; enable authorized sharing or exports; maintain and secure the Service; detect abuse and technical problems; comply with law; enforce these Terms; and improve URIQA's workflows, prompts, safety, reliability, and performance.
This license does not allow URIQA to sell your private project content or use it for unrelated advertising. The license generally ends when the relevant content is deleted, although copies may remain temporarily in backups, security records, legal holds, transaction records, or other systems where retention is reasonably necessary.
How URIQA processes your content
The Service may extract text, identify document sections, describe images, read spreadsheets, create summaries, generate embeddings, suggest findings, produce drafts, and connect information across a project. To perform these functions, relevant content may be processed by the Lovable Cloud infrastructure and by third-party AI, hosting, document, payment, email, analytics, or security providers.
URIQA does not promise that any provider offers zero retention, a specific processing region, customer-managed encryption keys, contractual confidentiality suitable for regulated data, or non-training treatment unless that protection is expressly stated in a separate written agreement.
Artificial intelligence
URIQA uses artificial intelligence to assist with organization, document analysis, image and graph interpretation, spreadsheet review, summarization, finding development, gap identification, relationship suggestions, planning, and drafting.
AI can be useful, but it is probabilistic. It predicts outputs based on instructions, available context, and model behavior. It does not understand a project in the same way as a qualified human professional.
AI output may be inaccurate, incomplete, misleading, biased, outdated, internally inconsistent, or unsupported. It may overlook evidence, misread a document, misunderstand a graph, create an incorrect calculation, or produce a citation or measurement that does not exist. A detailed or confident answer is not necessarily a correct answer.
You must independently review important output against original sources, verify calculations and citations, assess assumptions, and obtain qualified professional approval where appropriate. The AI Disclaimer forms part of these Terms and provides additional information about these limitations.
Research and academic use
URIQA may help organize research, analyze materials, identify possible relationships, and prepare drafts. It does not conduct independent scientific verification, peer review, institutional approval, or research-integrity review.
You remain responsible for the integrity of your research and for complying with institutional, journal, conference, grant, authorship, disclosure, citation, plagiarism, data-management, and human-subject requirements.
URIQA does not guarantee that AI-generated writing is original, properly cited, publishable, patentable, acceptable under an institution's AI policy, or free from third-party rights. You should preserve original research data and records outside URIQA when required by your institution, funder, law, or professional practice.
Professional and technical use
URIQA Professional provides organizational, analytical, and drafting tools for technical work. It is not an engineering firm, forensic laboratory, testing laboratory, inspection body, certification organization, law firm, medical provider, accounting firm, or regulatory authority.
No URIQA output is a signed engineering opinion, laboratory certificate, inspection approval, regulatory determination, expert report, professional seal, legal opinion, medical diagnosis, or final root-cause determination.
Professionals remain responsible for selecting methods and standards, maintaining chain of custody, conducting tests, checking calibration, verifying measurements, performing calculations, interpreting evidence, documenting uncertainty, obtaining approvals, and issuing final conclusions.
Safety-sensitive and high-consequence uses
URIQA must not be used as the sole or controlling basis for decisions involving human safety, product release, regulatory acceptance, medical treatment, structural integrity, aircraft, spacecraft, vehicles, pressure systems, critical machinery, energy infrastructure, hazardous materials, public infrastructure, weapons, emergency response, legal proceedings, or other high-consequence matters. Qualified people must review the original evidence and independently approve any decision.
Sensitive and regulated information
URIQA is not currently represented as a regulated or accredited information system. Unless URIQA agrees otherwise in a separate written contract, do not submit information that requires specialized handling, certification, contractual controls, or government authorization. Examples include:
- classified information or government secrets;
- Controlled Unclassified Information;
- ITAR-controlled technical data;
- export-controlled information requiring restricted handling;
- protected health information subject to HIPAA;
- cardholder data subject to PCI DSS;
- criminal-justice information subject to CJIS;
- data requiring a business associate agreement;
- Social Security numbers or complete financial-account credentials;
- passwords, API keys, authentication secrets, or private encryption keys;
- regulated student records, highly sensitive legal files, or personally identifiable medical, biometric, or genetic information.
URIQA's ability to upload a file does not mean that URIQA is authorized or appropriate for that file.
Plans, credits, and storage
URIQA may offer free, paid, trial, professional, and enterprise plans. Plans may differ in project limits, storage, AI credits, available models, file sizes, sharing, exports, branding, templates, professional workspaces, or other capabilities.
AI credits are internal usage units. They are not currency, stored value, property, or securities. The number of credits used may depend on the model, action, file size, processing time, or computational resources involved.
Monthly credits may expire at the end of the applicable billing period. One-time credits do not renew unless expressly stated. Credits are not transferable, redeemable for cash, or refundable except where law requires.
Features described as "unlimited" remain subject to reasonable fair-use, security, technical, and anti-abuse restrictions. We may restrict excessive or automated use that interferes with the Service or is inconsistent with the intended plan.
Trials, subscriptions, and payments
Free plans and trials
Eligibility for a free plan or trial may depend on the user, organization, payment method, workspace, or prior participation. We may limit duplicate trials or end a trial where we reasonably detect abuse. A trial that does not collect a payment method will not automatically become a paid subscription. If a trial collects a payment method and will convert to a paid subscription, we will clearly disclose the conversion price, billing frequency, charge date, and cancellation method before obtaining your affirmative consent.
Automatic renewal
Paid subscriptions continue and automatically renew at the billing frequency shown during checkout until canceled. Before you subscribe, URIQA will clearly display the plan, price, frequency, trial terms, renewal terms, material limits, and cancellation method. By affirmatively accepting the recurring terms, you authorize URIQA and its payment provider to charge your selected payment method.
You may cancel an online subscription through the online Billing or Account controls made available by URIQA. We will not require you to telephone us to cancel an online subscription. Cancellation ordinarily takes effect at the end of the current paid billing period unless the checkout disclosure or applicable law provides otherwise. Deleting the app, abandoning an account, or ceasing use does not itself cancel a subscription.
Payments and taxes
Fees are stated in United States dollars unless otherwise indicated. You authorize URIQA and its payment processor to charge applicable subscription fees, usage charges, add-ons, and taxes. Stripe or another payment processor may collect and process payment information. URIQA generally receives transaction status, plan, customer identifier, and limited payment-method details rather than a complete card number.
If payment fails, we may retry the payment, limit paid functionality, downgrade the plan, suspend the subscription, or terminate access.
Refunds
Payments are nonrefundable except where required by law or expressly stated during checkout. We generally do not provide refunds or credits for unused time, unused credits, unused storage, partial billing periods, or account inactivity. We may grant a refund or credit at our discretion without creating an obligation to do so in other circumstances. Nothing in this section limits nonwaivable consumer rights.
Intellectual property
URIQA's intellectual property
Tupal LLC and its licensors retain rights in URIQA's software, interfaces, designs, branding, workflows, prompts, templates, schemas, evaluation systems, documentation, and other Service technology. These Terms give you permission to use the Service. They do not transfer ownership of URIQA or authorize you to copy, resell, reverse engineer, remove branding from, or create derivative products from the Service except where applicable law expressly permits.
AI output
As between you and URIQA, and to the extent the law recognizes such rights, you may use AI output generated for you. AI output may not be unique or copyrightable. Similar output may be generated for others, and output may resemble existing material. URIQA does not guarantee that output is original, exclusive, noninfringing, patentable, or suitable for publication or commercial use. You are responsible for reviewing output and obtaining permissions or legal advice before relying on it.
Feedback
If you voluntarily provide product suggestions or feedback, URIQA may use that feedback without payment or restriction. This does not transfer ownership of your private project content.
Third-party services
URIQA relies on third-party services for functions such as hosting, authentication, storage, AI processing, document processing, email, payments, monitoring, and analytics. A third-party outage, change, restriction, or error may affect URIQA. Third-party services may also have their own terms and privacy policies. URIQA is not responsible for third-party products or conduct outside our reasonable control.
Suspension and termination
You may stop using URIQA at any time. Paid subscriptions must be canceled through the available billing process. We may limit, suspend, or terminate access when we reasonably believe that an account violates these Terms, presents a security or legal risk, has unpaid charges, compromises another person's rights, abuses resources, or must be restricted to comply with law.
When reasonably practical, we may provide notice and an opportunity to address the issue. We may act immediately when notice would compromise security, an investigation, legal compliance, or the operation of the Service.
Suspension does not delete User Content unless deletion is separately required or initiated. After termination, you may lose access to content, so you should export important information before closing an account. Certain provisions remain effective after termination, including provisions about ownership, accrued payments, disclaimers, liability, business indemnification, and disputes.
In case of problems
Warranty disclaimer
We work to make URIQA useful, but software and artificial intelligence can fail. The following language explains the legal limits of what we promise.
To the maximum extent permitted by law, URIQA is provided "as is" and "as available," without express, implied, or statutory warranties.
Tupal LLC disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, security, availability, professional quality, and regulatory compliance.
We do not warrant that URIQA will be uninterrupted, error-free, secure, or able to read every file. We do not warrant that outputs are correct or that use of URIQA will produce a discovery, valid root cause, publication, successful experiment, professional result, commercial outcome, or regulatory acceptance.
Some jurisdictions do not permit certain warranty exclusions, so part of this section may not apply to you.
Liability
The law requires responsibility for some losses but permits contracts to limit responsibility for others. To the maximum extent permitted by law, Tupal LLC, URIQA, and their members, managers, employees, contractors, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, clients, business, goodwill, research, reputation, data, or use. This limitation applies regardless of the legal theory and even if we were advised that a loss was possible.
To the maximum extent permitted by law, the total aggregate liability of Tupal LLC and URIQA arising from the Service or these Terms will not exceed the greater of the amount you paid URIQA during the 12 months before the event giving rise to the claim, or one hundred United States dollars.
These limitations do not apply to liability that cannot legally be limited. They do not exclude liability for fraud, willful misconduct, or gross negligence where applicable law prohibits that exclusion.
Responsibilities of business users
If you use URIQA on behalf of a business, professional practice, laboratory, university, organization, or government entity, then, to the extent permitted by law, that organization will defend and indemnify Tupal LLC, URIQA, and their members, managers, employees, and contractors from third-party claims arising from the organization's unlawful use of URIQA; its User Content; its violation of these Terms; its violation of another person's rights; its unauthorized submission of confidential or regulated information; or its professional reports, decisions, products, services, and deliverables. This obligation does not apply to the extent the claim was caused by Tupal LLC's willful misconduct or where indemnification is prohibited by law.
Informal resolution
Before filing a lawsuit, either party should send the other a written description of the dispute and requested resolution. Notices to URIQA should be emailed to support@uriqa.ai with the subject "Legal Dispute Notice." Include your name, account email, relevant dates, a description of the issue, and the requested resolution. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice. This process does not prevent either party from seeking urgent relief when reasonably necessary to protect security, intellectual property, or legal rights.
Governing law and courts
California law governs these Terms, without regard to its conflict-of-law rules. If you are using URIQA as a business user or on behalf of an organization, disputes that are not resolved informally will be brought exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to those courts. If you are a consumer, this provision does not deprive you of protections or a forum that cannot lawfully be waived under the laws applicable to you.
About these Terms
Changes to the Service or these Terms
We may update these Terms to reflect changes in URIQA, our business, technology, pricing, security needs, providers, or legal requirements. The updated Terms will show a revised date and version. When a change is material, we may provide notice by email, in-product message, or another appropriate method. We may require renewed acceptance before continued use. Changes do not retroactively eliminate rights that have already accrued where the law prohibits that result.
Entire agreement
These Terms, the Privacy Policy, the AI Disclaimer, applicable checkout terms, and any written enterprise agreement form the agreement governing the Service. A separately signed enterprise or organization agreement controls if it expressly conflicts with these public Terms. If part of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue. A failure to enforce a provision does not waive the right to enforce it later. These Terms do not create an employment, partnership, agency, fiduciary, professional-services, attorney-client, or joint-venture relationship.
Electronic communications
You agree that URIQA may provide agreements, notices, billing disclosures, security alerts, and transactional communications electronically. Keep your account email current. Electronic communications satisfy written notice requirements to the extent permitted by law.
